Check first

Directors can be personally liable for some unpaid CRA amounts. Know where you stand before you pay anyone out.

The problem

Most owners close a business only once. They do it under stress, alone, and without a map. Small mistakes can follow them for years.

01

It's a maze of agencies

CRA, Service Canada, provincial registries, workers' comp, municipal licensing. Each has its own forms, deadlines and portal.

02

Some risks are personal

Directors can be held personally liable for certain unpaid payroll remittances and GST/HST. Personal guarantees do not end when the business does.

03

Nobody runs the whole thing

Your accountant files. Your lawyer handles claims. Nobody puts it in order and keeps you from paying out too soon. A full-service consultant can cost more than a struggling business has left.

How it works

Think of us as the general contractor for your closing.

We assess, plan, coordinate and coach. Your own accountant and lawyer do the work that needs a licence. You always know what is next, why it matters and who is doing it.

1

See where you stand

A free check shows which routes may be open, a rough after-tax range for each, and the red flags to look at first, such as unpaid CRA amounts or personal guarantees.

Who does what

Each person does the part they're qualified to do.

CloseMyBusiness.ca is not a law firm, an accounting firm or an insolvency trustee. That is deliberate: it keeps the licensed work with licensed people.

You

The owner

Decide, sign and pay. Keep the information accurate. Hold payouts until your accountant says it is safe.

CloseMyBusiness.ca

Consultant and coordinator

Assess options, build the plan, review the liquidation statement, brief your professionals, draft letters for review, and coach you.

Your accountant

CRA and tax

Asks CRA for the clearance certificate, files final returns, and works out the tax on what you take out.

Your lawyer

Legal matters

Responds to claims, handles disputes, and prepares dissolution documents where they are needed.

Licensed trustee

If debts exceed assets

Proposals, bankruptcy and receivership. If this is you, we point you to a trustee first.

No accountant or lawyer? We will introduce independent professionals, coming 2027. You hire and pay them directly. We take no referral fees from anyone.
The closing steps

Seven steps from “I think it's time” to closed.

Timing depends on your situation. The CRA clearance certificate alone can take months, which is why the order matters. Pick a step to see what happens and who does it.

Dear Mr. Okafor,

As you know, Maple & Rye has been part of 214 Queen St. for seven years. Due to sustained losses, we've decided to close. In line with section 14.2 of our lease, I'd like to propose an early surrender on January 31, with a payment of two months' rent…

Who is behind this

Built by someone who has done this hundreds of times.

Our founder has spent more than 20 years in corporate restructuring, including hundreds of wind-ups and turnarounds for owners in your position.

They are not a lawyer, CPA or insolvency trustee, and that is by design: the consultant coordinates, and the licensed professionals do the licensed work.

Questions owners ask

Straight answers.

Not here? Book a call or get in touch.

Is this legal or tax advice?

No. CloseMyBusiness.ca provides information and prepared documents for professional review. We are not a law firm, an accounting firm or an insolvency trustee. Your accountant and lawyer give the advice that needs a licence.

Do you work with my accountant?

Yes. Your accountant stays your accountant. We prepare a brief that tells them what to request and in what order, so they can act without chasing you for information.

What if I owe the CRA?

Directors can be personally liable for certain unpaid CRA amounts. The free check flags this early. Talk to your accountant, and to a licensed insolvency trustee if you cannot pay.

What if my debts are bigger than my assets?

Then a licensed insolvency trustee is the right first call. We will say so, help you prepare for that meeting, and not sell you a closing plan that may not be safe.

Is my information private?

Everything you tell us is confidential. We share it only if you instruct us in writing, or if a subpoena or court order requires it, which we expect to be very rare. It is not legally privileged, as it would be with a lawyer.

Does AI read my information?

Only if you switch the optional AI agent on in the portal. It answers questions and explains options; it does not give legal or tax advice and does not file anything.

My business stopped years ago. Can I still use this?

Yes. Stopping operations is not the same as closing: filings and CRA accounts can stay open. The free check is a good place to start.

Which provinces do you cover?

To begin with, corporations incorporated in Ontario and federal (CBCA) corporations. Other provinces and structures are coming; join the waitlist in the preview above.
