Ontario and federal (CBCA) corporations to start.

You are not alone

Lots of owners stop operating and never formally close.

It is common, and it can be fixed. Closing a business can bring grief, shame and relief all at once. That is normal.

What may still apply

Stopped is not the same as closed.

Corporate filings

A corporation that is still registered usually still has annual filings due, even with no activity.

CRA accounts

Payroll, GST/HST and corporate tax accounts can stay open, and returns may still be due.

Personal exposure

Directors can be personally liable for certain unpaid CRA amounts. Personal guarantees also continue until they are released.

How to close it properly

Three small steps, one per day if that helps.

Gather what you have

Bank statements, your CRA login, corporate records. Whatever you can find is enough to start.

Take the free check

It shows what is likely still open and the red flags to look at first, in plain language.

Follow your ordered list

One step at a time, with your own accountant or lawyer where the step needs one. We can help you coordinate them.

Support

Closing is hard. You do not have to do it alone.

If it is weighing on you, talk to someone you trust. If your debts are bigger than your assets, a licensed insolvency trustee offers a consultation.

Questions

What if I have no records?

Start with what you have. Your accountant, bank and CRA account can fill many gaps.
